These terms govern your use of the Medical Billing Wyoming website, services, and technology solutions.
Effective Date: August 31, 2026These Terms & Conditions (“Terms”) govern access to and use of the medicalbillingwyoming.com website and services provided by Medical Billing Wyoming (“MBW,” “we,” “us,” or “our”).
By accessing our website, requesting services, entering into a service agreement, or using an MBW platform or service, you acknowledge that you have read and agree to these Terms to the extent applicable to your use of the services.
Our Services
MBW provides healthcare business and technology services that may include:
- Medical billing and revenue cycle management
- Medical coding and claims support
- Provider and group credentialing
- Eligibility and insurance verification
- Accounts receivable and denial recovery
- Revenue cycle optimization and related support
- Medical transcription and dictation services
- PracticeOS™ EHR and practice management technology
- DictaFlow™ medical transcription and dictation technology
The specific services, deliverables, fees, responsibilities, and other commercial terms applicable to a client are governed by the applicable service agreement, order, proposal, or other written agreement between MBW and the client.
Client Responsibilities
Clients are responsible for providing accurate, complete, and timely information necessary for MBW to perform the agreed services.
Clients are responsible for maintaining appropriate access credentials, reviewing information submitted or processed on their behalf, and promptly notifying MBW of material errors, unauthorized access, or other issues of which they become aware.
Clients remain responsible for clinical decisions, patient care, provider documentation, and the accuracy of information supplied to MBW unless otherwise expressly agreed in writing.
Fees & Payments
Fees for MBW services are established through the applicable proposal, service agreement, order, or other written arrangement.
Unless otherwise agreed in writing, clients are responsible for paying all applicable fees when due.
MBW reserves the right to suspend or limit services for materially overdue accounts after providing reasonable notice, subject to the applicable agreement and applicable law.
HIPAA & Protected Health Information
MBW may perform services that involve creating, receiving, maintaining, or transmitting Protected Health Information (“PHI”) on behalf of healthcare organizations.
When HIPAA applies, the parties will enter into an applicable Business Associate Agreement (“BAA”) where required.
PHI will be handled in accordance with the applicable BAA and applicable law. These Terms do not replace or override a BAA where a BAA is required.
Where the provisions of a valid BAA conflict with these Terms regarding PHI, the applicable BAA will control with respect to the conflicting HIPAA-related provisions.
PracticeOS™
PracticeOS™ is an MBW technology solution that may provide EHR, practice management, workflow, or related functionality.
Access to PracticeOS™ is subject to the applicable service arrangement, user permissions, technical requirements, and acceptable-use requirements established by MBW.
MBW does not make clinical decisions or replace the professional judgment and responsibilities of healthcare providers.
DictaFlow™
DictaFlow™ is an MBW technology solution designed to support medical dictation and transcription workflows.
Users and clients remain responsible for reviewing generated, transcribed, or processed documentation for accuracy and completeness before relying on it for clinical, billing, legal, or operational purposes.
DictaFlow™ is a documentation support technology and does not provide medical advice, diagnosis, treatment, or independent clinical judgment.
Confidentiality
Each party may receive confidential or proprietary information belonging to the other party in connection with the services.
Each party agrees to use reasonable measures to protect confidential information and to use such information only for legitimate purposes related to the applicable business relationship.
Confidentiality obligations do not apply to information that is publicly available through no breach, was lawfully known before disclosure, is independently developed, or is lawfully obtained from another source without a confidentiality obligation.
Intellectual Property
MBW and its licensors retain all rights, title, and interest in MBW-owned software, platforms, technology, trademarks, service marks, designs, documentation, website content, workflows, and other intellectual property.
PracticeOS™ and DictaFlow™ are proprietary MBW technology offerings. No ownership rights are transferred to a client or user merely through access to or use of the services.
Clients retain ownership of their own data and materials, subject to the rights and permissions necessary for MBW to provide the contracted services.
Acceptable Use
You agree not to use MBW websites, platforms, or services to:
- Violate applicable laws or regulations
- Gain unauthorized access to systems, accounts, or information
- Interfere with the security, availability, or operation of our systems
- Upload malicious code, malware, or harmful content
- Attempt to reverse engineer or unlawfully reproduce proprietary technology
- Use the services in a manner that violates the rights of MBW or another party
Third-Party Services
MBW services may integrate with or depend upon third-party software, clearinghouses, EHR systems, payment providers, hosting providers, communication services, or other technology platforms.
Third-party services may be subject to separate terms, licenses, privacy policies, availability limitations, and service requirements.
MBW is not responsible for the independent operation, availability, security, or policies of third-party services outside MBW’s reasonable control.
Service Availability
MBW will use reasonable efforts to provide reliable services and maintain the availability of its website and technology platforms.
Services may occasionally be unavailable because of maintenance, upgrades, technical problems, security events, internet or telecommunications failures, third-party service interruptions, or circumstances beyond MBW’s reasonable control.
No Medical Advice
MBW is a healthcare business services and technology company. MBW does not provide medical diagnosis, treatment, or medical advice.
Healthcare providers and clients remain solely responsible for clinical decisions, patient care, medical judgment, and compliance with professional obligations.
Disclaimers
Except as expressly provided in a written agreement, MBW services and website content are provided on an “as available” basis.
MBW does not guarantee that every claim will be paid, that a payer will approve a claim, that credentialing will be completed within a particular timeframe, or that a particular financial result will be achieved.
Healthcare reimbursement depends on factors outside MBW’s control, including payer policies, eligibility, documentation, coding requirements, provider participation, patient information, and applicable laws.
Limitation of Liability
To the maximum extent permitted by applicable law, MBW will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the website or services, including loss of profits, revenue, business opportunities, or data.
Any limitations of liability applicable to a specific client relationship will be governed by the applicable written service agreement.
Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited under applicable law.
Indemnification
To the extent permitted by applicable law and subject to any limitations contained in a written service agreement, a party may be responsible for claims arising from its own breach of these Terms, violation of applicable law, negligence, or willful misconduct.
Specific indemnification obligations between MBW and a client will be governed by the applicable written agreement.
Termination
Access to MBW services may be terminated or suspended in accordance with the applicable service agreement or where permitted by these Terms.
Upon termination, each party will remain responsible for obligations that accrued before termination.
Provisions concerning confidentiality, intellectual property, payment obligations, limitations of liability, dispute resolution, and other provisions intended by their nature to survive termination will survive termination.
Changes to These Terms
MBW may update these Terms from time to time to reflect changes to our services, technology, business practices, or applicable legal requirements.
Updated Terms will be posted on this page with a revised effective date.
Where a separate written service agreement applies, that agreement will govern the specific commercial relationship to the extent of any conflict.
Governing Law
Unless otherwise provided in a written agreement between MBW and a client, these Terms will be interpreted in accordance with the laws applicable to the MBW contractual relationship, without regard to conflict-of-law principles.
Any dispute-resolution requirements contained in a separate written service agreement will control over this general provision.
Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect to the extent permitted by applicable law.
Entire Agreement
These Terms govern general use of the MBW website and services unless a separate written agreement applies.
A signed service agreement, proposal, order, BAA, or other written agreement between MBW and a client may contain additional or different terms that govern the specific relationship.
